These Terms of Service (“Terms”) apply to partners who have enrolled as a distributor (“You or “Distributor”). These Terms are an integral part of Huawei Cloud Distribution Cooperation Agreement (“The Agreement”).

 

Capitalized terms used herein but not defined herein will have the meanings set forth in the Agreement.

 

1.Distributor Accounts

Distributor shall create an account when they apply for participating in the HCPN. Distributor Account is used to manage Distributor’ finance activities (such as billing, payment and invoices), performance and incentives, and the Distributor Account is also used to manage your associated Resellers’ and End Users’ activities, their budgets and expenditures on Partner Center-Partner Bills (huaweicloud.com).

Distributor send a connection invitation to the Reseller. The accounts of the Distributor and the Reseller will be connected at the time when the Reseller accepted such invitation.

Distributor could only be connected with Reseller Account.

 

2.Reseller Account

Reseller shall create an account when they apply for participating in the HCPN (“Reseller Account”). Reseller Account is used to manage Resellers’ Account info, Operation Statistics, its associated End User’s Business (such as End User’s invitation, expenditures), Benefit and Support. Reseller Account may also be allowed to manage End Users’ activities (such as maintenance, services subscription) on end users’ behalf with the consent of End Users.

To begin with, Reseller send a connection invitation to an End User. Then the Reseller Account and the End User will be connected at the time when the End User accepted such invitation.

Reseller Account could only be connected with End User Account.

 

3.End User Account

End Users may create an account on the Huawei Cloud website.

Under Resale model, Distributor or its associated Reseller will grant a credit to End Users, and End Users can use their accounts to buy the Services on the Huawei Cloud website. The End User's monthly Services consumption cannot exceed the credit granted. Huawei Cloud provides End User’s consumption information to Distributor and Reseller. Distributor is responsible for billing to and collecting payments from Reseller while the Reseller is responsible for billing to and collecting payments from End User.

Huawei Cloud charges Distributor for resource consumption based on the price agreed with Distributor and provides summary bills to Distributor. Distributor will pay to all the gross Huawei Cloud Services fees under Distributor Account which including fees generated by your associated Resellers and End Users.

 

4.Definitions

Resale Model means Distributor will resell Huawei Cloud services to End Users through Resellers and the Distributor will enter into agreement with, bill to and collect payments from Reseller.
