MaaS Service Agreement
Huawei Cloud Model as a Service (MaaS) (hereinafter referred to as "this Platform") Agreement (hereinafter referred to as "this Agreement") describes your rights, obligations, and responsibilities when you use this Platform. Please read the terms carefully, especially the terms that have a significant impact on your rights and interests, such as exemption from liability and limitation of liability. Such terms are in bold in this Agreement.
You understand and agree that by using any services in this Agreement, you are deemed to have reviewed and agreed to the "General Terms of Service" and the "Dedicated Terms of Service" for the services you are using and that this Agreement shall become legally binding on you. If you do not agree to part or all of the terms of this Agreement, you shall stop using any such related services.
1. General Terms of Service
1.1 Contracting Entity: This Agreement is entered into by and between Huawei Cloud Contracting Party (hereinafter referred to as "Huawei Cloud", or "We") as defined in Section 15.4 of Huawei Cloud Customer Agreement and you (or "User"). Once this Agreement takes effect, it has legal effect between you and Huawei Cloud. In the event that you register on behalf of a company or other legal entity or use this Platform in a manner permitted by Huawei Cloud, you represent and warrant that you are an authorized representative of the company or legal entity to bind such company or legal entity to the terms of this Agreement.
1.2 Separate Agreement: If you subscribe to this Platform offline, purchase this Platform through our partners, or purchase partner products that integrate this Platform, you may sign a separate agreement with us or our partners. You acknowledge and agree that you will remain bound by the separate agreement mentioned in this article if you are authorized to access and use this Platform.
1.3 Agreement Update: This Agreement is subject to change at any time. We will notify you of any changes to this Agreement by posting a notice on our website or by other means. You can also visit our website to read the latest service agreement. If you do not agree to part or all of the latest version of this Agreement, please stop using this Platform. By continuing to use this Platform, you acknowledge that you are aware of and agree to the latest version of this Agreement.
1.4 Your Content
1.4.1 The definitions and related regulations of "Your Content" are subject to the Huawei Cloud Customer Agreement:

1.4.2 In terms of Your Content, except as required by laws and or regulations, or as necessary to provide this Platform to youfor your use of this Platform, Huawei Cloud is authorizedentrusted to process your data only in accordance with your authorization and instructions and the agreement between you and us.
1.4.3 You have the right to upload, delete, and modify Your Content. Exercise caution when deleting or modifying data. You shall solely bear the consequences of these operations.
1.4.4 You shall back up your data as required. Huawei Cloud provides data backup services only in accordance with relevant laws and regulations.
2. MaaS Terms of Service
2.1 Service Content
2.1.1 MaaS focuses on enhancing the performance and accuracy of high-quality models across all scenarios, building a one-stop model development and hosting service on the cloud. It emphasizes the model ecosystem, improved utilization rates, and serverless training and inference to create a cost-effective and high-quality token service. Enterprises can rapidly and efficiently construct, deploy, monitor, and call models developed and provided by third-party service providers.
2.1.2 This Platform provides model inference functionality. It aims to meet the diverse needs of different users during the AI development process and assist users in efficiently using models.
2.1.3 If your registration location is outside of Hong Kong (China), this Platform only serves enterprise users. You can use this Platform within the scope of internal corporate use, such as corporate data processing and employee services, including but not limited to inference, knowledge Q&A, and code development for corporate data and documents.
2.1.4 When new services are launched on this Platform, they may be available as open beta test (OBT) services. By using OBT services, you understand and agree to the OBT Trial Use Agreement (https://www.huaweicloud.com/intl/en-us/declaration/fsa_test.html).
2.2 Security Responsibilities
Huawei Cloud will take appropriate measures to ensure the security and availability of physical infrastructure, compute resources, and MaaS services. You are responsible for the security of your own models or applications, those of the third-party service providers you choose, or any new models or applications generated by you using Huawei Cloud MaaS, as well as your data. This includes, but is not limited to, implementing proper security configurations, patch management and vulnerability fixes, appropriate data encryption, access control policies, and formulating and executing business data backup and recovery strategies for relevant models or applications, training scripts, and datasets.
2.3 Data and Privacy Protection
You understand and agree that Huawei Cloud has the right to collect, use, and process your personal data in accordance with the Privacy Statement (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_prp.html). Huawei Cloud promises to respect and protect your privacy in accordance with this Privacy Statement.
2.4 Processing of Your Content
2.4.1 Your Content refers to all data, software, text, images, videos, audio, and other content that you process (including collecting, storing, using, processing, transmitting, providing, disclosing, and deleting) on this Platform in any format, including but not limited to Uploaded Data, input Prompts, Model Inference Data, and your inference result data.
2.4.2 If Your Content contains personal data, you must anonymize the personal data. If the personal data in Your Content cannot be anonymized and must be processed on this Platform, you must comply with applicable laws and regulations, including obtaining the authorization of the personal data subject or other legal basis as required by applicable laws. In the preceding scenarios, you will determine the type, method, and purpose of personal data processing. Both of us will process the personal data in Your Content in accordance with the Huawei Cloud's Data Processing Addendum (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_dpa.html) signed between you and us.
2.4.3 We will not authorize third parties to use or disclose Your Content without your explicit authorization, except for providing you with this Platform's services.
2.4.4 We will not use Your Content for any purposes without your explicit authorization, including for model training or tuning, except to provide you with this Platform's services.
2.4.5 When you use this Platform to perform model inference, we will allocate compute resources in the People's Republic of China and process Your Content in the People's Republic of China, including but not limited to your input Prompts and model inference results. During inference, this Platform will not store Your Content. We will delete Your Content immediately after the inference is complete.
2.4.6 You are responsible for the input Prompts and related cross-border data compliance, and agree to authorize Huawei Cloud as the data processor to process your data, including the input Prompts, model inference results, and cross-border data transfer.
2.5 Intellectual Property Rights
2.5.1 When you use the Model Inference feature of this Platform, you are the right holder of the Model Outputs generated from your input Prompts, unless otherwise specified by laws, regulations, or agreements. You are responsible for the outputs and the use of the models, and you will be liable for any losses incurred by us or our affiliates due to your actions.
2.6 Your Warranties
You understand and agree that when you use this Platform:
2.6.1 You shall perform security compliance review on Your Content, and ensure that Your Content complies with applicable laws, regulations, policies, public order, and good customs, and meets the requirements of the Acceptable Use Policy (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_nisr.html), and does not contain pornographic, violent, or drug-related information.
2.6.2 You must ensure that Your Content come from legal and compliant sources. You must have obtained authorization from the relevant right holders. You must not infringe on others' intellectual property rights, trade secrets, or personal data. Your upload and use of the content must not infringe on the legitimate rights and interests of any party.
2.6.3 You must assess the quality of Your Content to ensure that it is authentic, accurate, objective, secure, diverse, and complete.
2.6.4 The right holders of the models in the Model Square on this Platform are third-party service providers. You must ensure that you comply with all applicable laws, regulations, and rules when accessing, using, or allowing others to access or use the models on this Platform, and strictly comply with the use requirements or specifications proposed by relevant model license agreements.
2.6.5 You must carefully review Model Outputs before using them (including commercial or non-commercial use) or authorizing others to use them; you must ensure that your downloads, copies, use, and modifications comply with relevant laws and regulations as well as the third-party service provider's license agreement, do not infringe upon any third party's legitimate rights and interests, and will not be used for illegal purposes, such as exporting content that violates laws and regulations, fabricating, or spreading false information.
2.6.6 You have the right to determine the method, purpose, and form of using the Model Outputs within the scope authorized by this Agreement, and to decide whether to collect and process personal data. You will bear any adverse consequences or disputes arising from your actions.
2.6.7 You understand and agree that when you use this Platform and Model Outputs, you shall comply with all applicable laws and regulations as the service provider, and fulfill relevant obligations, including but not limited to performing security assessment, archiving, content identification, content compliance review, and algorithm mechanism construction.
2.6.8 You understand and agree that you will only use this Platform and the Model Outputs on this Platform within your enterprise. You will not provide, transfer, or disseminate the Model Outputs generated on this Platform to any third party (including enterprises and individuals) in any form.
2.6.9 If you violate laws and regulations, infringe on the rights and interests of third parties, or breach the terms of this Agreement, Huawei Cloud has the right to suspend or terminate the provision of all or part of this Platform's services to you. You will be liable for compensating us for any losses caused by such violations.
2.6.10 You shall not use the Model Outputs directly or indirectly for automated decision-making that may have a significant negative impact on the legitimate rights and interests of individuals or impose binding or enforceable obligations on individuals. The service outputs must be manually reviewed and approved before being used.
2.7 Disclaimer
2.7.1 When using third-party provider models, including but not limited to those in the Model Square, you understand and agree that Huawei Cloud provides no warranties or guarantee. Huawei Cloud cannot guarantee the compliance, security, authenticity, accuracy, or integrity of these models or their outputs, and we are not liable for any damages resulting from these issues. The models and their outputs within this Platform do not represent the viewpoints of Huawei Cloud. Any content you download or obtain through this Platform, as well as your use of such content, are at your own risk and responsibility. Exercise caution when downloading, obtaining, or using such content. Any dispute arising from your use of third-party provider models shall be resolved by you and the third-party provider. Huawei Cloud shall not assume any responsibility.
2.7.2 You understand and agree that the following events or actions by Huawei Cloud do not constitute a breach of this Agreement. Unless otherwise expressly provided by laws and regulations, Huawei Cloud shall not be held liable for:
(1) Service interruption that may be caused by network adjustments or routine or emergency maintenance performed by Huawei Cloud. During such maintenance, you may be unable to access this Platform, though Huawei Cloud will use reasonable commercial efforts to minimize interruptions and unavailability;
(2) Degraded access speeds to this Platform caused by network path congestion, as Huawei Cloud has no direct control over the bandwidth or connection availability of the entire Internet;
(3) Any consequences resulting from or related to the unique nature of computers and the Internet, such as malicious activities by hackers or viruses, maintenance or upgrades of telecommunications facilities or equipment, or backbone line outages;
(4) Losses arising from operational and maintenance activities for troubleshooting, including but not limited to system upgrades, optimizations, and capacity expansions;
(5) Issues arising from your improper operations or issues with your computer software, systems, hardware, or communication lines;
(6) Any consequences caused by your use of the services in violation of this Platform's rules; or
(7) Any other issues not caused by Huawei Cloud.
2.7.3 During certain periods, we may offer limited free trial services. While we aim to maintain service availability and reliability, Huawei Cloud does not guarantee these aspects, and you assume full responsibility for any outcomes.
2.7.4 Huawei Cloud is committed to continuously improving our services. However, due to the probabilistic nature of AI service outputs, the limitations of current industry technology and conditions, and the influence of Your Content on the results, Model Outputs may be inaccurate, untruthful, or not fully aligned with expectations. You are advised to manually review key outputs. Huawei Cloud shall not be held liable for output deviations caused by the inherent limitations of AI services or service defects that are unavoidable given the current state of AI technology; such defects shall not constitute a breach of this Agreement by Huawei Cloud.
2.7.5 This Platform is sold and services are provided only in non-EU regions. If you use this Platform in EU regions, you shall fulfill the relevant obligations and bear any risks, liabilities, or losses arising therefrom. You shall be liable for any loss caused to Huawei Cloud due to the aforementioned behavior.
2.7.6 You understand and agree that we are committed to maintaining this Platform's operation using current technologies. However, if required by law, regulation, agreement, or business need, we may discontinue, disable, or remove third-party provider models on this Platform and their technical services, and notify you within a reasonable time frame afterward.
2.8 Compensation and Limitation of Liability
2.8.1 Compensation: If you (1) breach any agreements with us; or (2) violate laws and regulations, you will be liable for any claims, losses, and expenses (including attorney fees) and for any damages to us or third parties. If a third party claims compensation against Huawei Cloud or we are punished by a regulator because of your actions, you must defend us at your own expense and compensate us for any losses, costs, and expenses caused by the court's final decision, penalties imposed by the regulator, or settlement with the third party.
2.8.2 Limitation of Liability: Notwithstanding anything to the contrary, our aggregate limit of liability in respect of any loss, damage, fines, liability, charge, proceeding, expense, outgoing, or cost of any nature or kind incurred by us or our affiliates arising from or in connection with this Agreement, whether in contract, misrepresentation (whether tortious or statutory), tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by you hereunder for using this Platform during the twelve (12) months immediately prior to the event giving rise to such liability.
2.8.3 Exclusions of Liability: In no event shall either party or its affiliates be liable to the other for any indirect or consequential losses or damage, or any loss of revenues, profits, opportunities, customers, goodwill, reputation, or data/data use, arising from or in connection with this Agreement, even though either party or its affiliates have been informed or aware of such loss or damage or the possibility of such loss or damage to be caused by the other party.

2.10 Definitions
2.10.1 Model Outputs: The results generated by this Platform by processing Prompts you input.
2.10.2 Uploaded Data: Data you upload to this Platform that may change parameters or code of algorithms and models on this Platform.
2.10.3 Prompts: The content you input when using the model inference feature.
2.10.4 Model Inference Data: A collective term for the input content, parameter configurations, and output results generated when you initiate a model inference call on this Platform.
