This Service Agreement (hereinafter referred to as "this Agreement") of Huawei Cloud ModelArts Studio (hereinafter referred to as "this Platform") describes your rights, obligations, and responsibilities of using Huawei Cloud services. Please read the terms carefully, especially the terms that have a significant impact on your rights and interests, such as exemption from liability and limitation of liability. Such terms are in bold in this Agreement.

You understand and agree that by using any service as stated under this Agreement, you are deemed to have read and agree to the General Terms of Service in this Agreement and the Dedicated Terms of Service for the service you use. By using any service under this Agreement, this Agreement shall become legally binding on you. If you do not agree to part or all of the terms of this Agreement, you shall stop using any such related services.

1. General Terms of Service

1.1 Contracting Entity: This Agreement is entered into by and between Huawei Cloud Contracting Party as defined in Section 15.4 of Huawei Cloud Customer Agreement (hereinafter referred to as "Huawei Cloud", or "We") and you (or "User"). Once this Agreement takes effect, it has legal effect between you and Huawei Cloud. In the event that you register on behalf of a company or other legal entity, you represent and warrant that you are an authorized representative of the company or legal entity to bind such company or legal entity to the terms of this Agreement.

1.2 Separate Agreement: If you subscribe to this Platform offline, purchase this Platform through our partners, or purchase partner products that integrate this Platform, you may sign a separate agreement with us or our partners. You acknowledge and agree that you will remain bound by the separate agreement mentioned in this article if you are authorized to access and use this Platform.

1.3 Agreement Update: This Agreement is subject to change. We will notify you of any changes to this Agreement by posting a notice on our website or by other means. You can also visit our website to read the latest service agreement. If you do not agree to part or all of the latest version of this Agreement, please stop using this Platform. By continuing to use this Platform, you acknowledge that you are aware of and agree to the latest version of this Agreement.

1.4 Your Content

1.4.1 The definition and related regulations of Your Content are subject to the Huawei Cloud Customer Agreement (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_cua.html).

1.4.2 In terms of Your Content, except as required by laws and regulations or for your use of this Platform, Huawei Cloud is entrusted to process your data only in accordance with your authorization and instructions and the agreement between you and us.

1.4.3 You have the right to upload, delete, and modify Your Content. Exercise caution when deleting or modifying data and you shall solely bear the consequences of these operations.

1.4.4 You shall back up your data as required. Huawei Cloud provides data backup services only in accordance with relevant laws and regulations.

2. ModelArts Studio Terms of Service

2.1 Service Content

2.1.1 ModelArts Studio enhances the performance and accuracy of high-quality foundation models across various scenarios. It provides a comprehensive platform for building, hosting, and managing foundation models in the cloud through its Model as a Service (MaaS) approach. This enables businesses to rapidly develop, deploy, monitor, and use AI models without needing to develop and maintain underlying foundational capabilities.

2.1.2 This Platform provides functions including but not limited to model tuning, compression, and inference. These functions cater to various needs throughout AI development, streamlining the entire process from data preparation to model deployment.

2.1.3 When new services are launched on this Platform, they may be available as open beta test (OBT) services. By using OBT services, you understand and agree to the OBT Trial Use Agreement (https://www.huaweicloud.com/intl/en-us/declaration/fsa_test.html).

2.2 Data and Privacy Protection

You understand and agree that Huawei Cloud has the right to collect, use, and process your personal data in accordance with the Privacy Statement (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_prp.html). Huawei Cloud promises to respect and protect your privacy in accordance with this Privacy Statement.

2.3 Processing of Your Content

2.3.1 Your Content refers to all data, software, text, images, videos, and audio processed (including collection, storage, use, processing, transmission, provision, disclosure, and deletion) by you or your end users on this Platform in any format. This content includes but not limited to your or your end users' input Prompts, and data and models uploaded by you or your end users.

2.3.2 If Your Content contains personal data, you must anonymize the personal data. If the personal data in Your Content cannot be anonymized and must be processed on this Platform, you must comply with applicable laws and regulations, including obtaining the authorization of the personal data subject or other legal basis as required by applicable laws. In the preceding scenarios, you will determine the type, method, and purpose of personal data processing. Both of us will process the personal data in Your Content in accordance with the Huawei Cloud Data Processing Addendum (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_dpa.html) signed between you and us.

2.3.3 We will not authorize third parties to use or disclose Your Content without your explicit authorization, except for providing you with this Platform.

2.3.4 We will not use Your Content for any purposes without your explicit authorization, including for model training or tuning, except to provide you with this Platform.

2.3.5 When you use the model tuning or compression service, data will be processed in your selected Region, but Your Content will not be stored on this Platform. After the task is complete, Your Content, such as fine-tuned or compressed model files, will be stored in the OBS bucket that you specify and manage.

2.3.6 When you use inference services, we will preferentially allocate appropriate compute resources within the service framework you select, including but not limited to compute resources in the People's Republic of China. During inference, this Platform will not store Your Content. If the compute resources allocated by this Platform are located in the People's Republic of China, we may process Your Content in the People's Republic of China, including your input Prompts and model inference results. The content will be deleted immediately after the inference is complete.

2.3.7 You are responsible for the input Prompts and related cross-border data compliance issues, and agree to authorize Huawei Cloud as the data processor to process your data, including the input Prompts, model inference results, and cross-border data transfer.

2.4 Intellectual Property Rights

2.4.1 When you use the My Models, Model Tuning, Model Compression, and Model Inference features of this Platform, the intellectual property ownership of Generated Models is governed by agreements on the Huawei Cloud official website, platform documentation, or announcements, as well as license agreements of third-party model service providers.

2.4.2 When you use the Model Inference feature of this Platform, you are the right holder of the Model Outputs generated from your input Prompts, unless otherwise specified by laws, regulations, or agreements. You are responsible for the outputs and the use of the models, and you will be liable for any losses incurred by us or our affiliates due to your actions.

2.5 Your Warranties

You understand and agree that when you or your end users use this Platform:

2.5.1 You shall review Your Content to ensure that it complies with applicable laws, regulations, policies, public order, and good morals, and does not contain pornographic, violent, drug-related, or other malicious information.

2.5.2 You must ensure that Your Content come from legal and compliant sources. You must have obtained authorization from the relevant right holders. You must not infringe on others' intellectual property rights, trade secrets, or personal data. Your upload and use of the content must not infringe on the legitimate rights and interests of any party.

2.5.3 You must assess the quality of Your Content to ensure that it is authentic, accurate, objective, secure, diverse, and complete.

2.5.4 The right holders of the models in the Model Square on this Platform are third parties. You must ensure that you comply with all applicable laws, regulations, and rules when accessing, using, or allowing others to access or use the models on this Platform; you must strictly comply with the use requirements or specifications proposed by third parties, such as model license agreements.

2.5.5 You must carefully review Generated Models or Model Outputs before using them (including commercial or non-commercial use) or authorizing others to use them; you must ensure that your and your end users' downloads, copies, use, and modifications comply with relevant laws and regulations as well as the agreements between you and third parties, do not infringe upon the legitimate rights and interests of any third party, and bear the consequences.

2.5.6 You are responsible for the legal compliance of Uploaded Data, Generated Models, and Model Outputs from you or your end users, and comply with the requirements of Acceptable Use Policy (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_nisr.html). You have the right to determine the way, purpose, and form of providing services to your end users within the validity period of this Agreement, including but not limited to whether to collect and process personal data. You will bear any adverse consequences or disputes arising from your actions.

2.5.7 You understand and agree that you as a service provider must comply with all relevant laws and regulations and fulfill relevant obligations when you use this Platform, its built-in models, Generated Models, or Model Outputs, or provide services to your end users, including but not limited to security assessment, identification, content compliance review, and algorithm mechanism construction.

2.5.8 You understand and agree that after you use this Platform to fine-tune or compress models, you must take security measures, such as controlling access permissions and encrypting model files, to ensure the security of model files stored in OBS buckets under your control; when deploying built-in models or Generated Models on this Platform for inference and applications, you must take security measures, such as DDoS protection and prompt injection attack prevention, to ensure smooth operations.

2.5.9 You understand and agree that when using this Platform, its built-in models, Generated Models, or Model Outputs, or providing services to your end users, you must ensure they are used lawfully by yourself or your end users. For example, do not generate or share illegal or non-compliant content and misinformation. You shall not directly or indirectly provide this Platform, its built-in models, Generated Models, or Model Outputs to the EU.

2.5.10 If you or your end users violate laws and regulations, infringe on the rights and interests of third parties, or breach the terms of this Agreement, Huawei Cloud has the right to suspend or terminate the provision of all or part of this Platform's services to you. You will be liable for compensating us for any losses caused by such violations.

2.6 Disclaimer

Huawei Cloud will not be liable for any losses caused by you or your end users due to any of the following reasons.

2.6.1 When using third-party models, including but not limited to those in the Model Square, you understand and agree that Huawei Cloud provides no warranties or guarantee. Huawei Cloud cannot guarantee the compliance, security, authenticity, accuracy, or integrity of these models or their outputs, and we are not liable for any damages resulting from these issues. The models and their outputs within this Platform do not represent the viewpoints of Huawei Cloud. Any content you download or obtain through this Platform, as well as your use of such content, are at your own risk and responsibility. Exercise caution when downloading, obtaining, or using such content. Any dispute arising from your use of third-party models shall be resolved by you and the third party. Huawei Cloud shall not assume any responsibility.

2.6.2 You understand and agree that while Huawei Cloud has taken necessary measures to ensure the smooth operation of this platform, the following issues may still arise. You also agree that Huawei Cloud is not liable for any losses resulting from.

2.6.2.1 Service interruptions due to Huawei Cloud's network adjustments and maintenance;

2.6.2.2 Slower access to the services of this Platform due to network congestion;

2.6.2.3 Issues caused by hackers, computer viruses, Trojans, or other malicious programs;

2.6.2.4 Issues resulting from technical adjustments by telecommunications departments and disruptions in backbone lines;

2.6.2.5 Losses arising from operational and maintenance activities for troubleshooting, including but not limited to system upgrades, optimizations, and capacity expansions;

2.6.2.6 Issues arising from your improper operations or issues with your computer software, systems, hardware, or communication lines;

2.6.2.7 Consequences of using related services in violation of the platform rules;

2.6.2.8 Any other issues not caused by Huawei Cloud.

2.6.3 You understand and agree that we are committed to maintaining this Platform's operation using current technologies. However, if required by law, regulation, agreement, or business need, we may discontinue, disable, or remove third-party models and their technical services on this Platform, and notify you within a reasonable time frame afterward.

2.6.4 During certain periods, we may offer limited free trial services. While we aim to maintain service availability and reliability, Huawei Cloud does not guarantee these aspects, and you assume full responsibility for any outcomes.

2.7 Compensation and Limitation of Liability

2.7.1 Compensation. If you (a) breach any agreements with us, (b) or violate laws and regulations, you will be liable for any claims, losses, and expenses (including attorney fees) and for any damages to us or third parties. If a third party claims compensation against Huawei Cloud or we are punished by a regulator because of your actions, you must defend us at your own expense and compensate us for any losses, costs, and expenses caused by the court's final decision, penalties imposed by the regulator, or settlement with the third party.

2.7.2 Limitation of Liability. Notwithstanding anything to the contrary, our aggregate limit of liability in respect of any loss, damage, fines, liability, charge, proceeding, expense, outgoing, or cost of any nature or kind incurred by us or our affiliates arising from or in connection with this Agreement, whether in contract, misrepresentation (whether tortious or statutory), tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by you hereunder for using this Platform that gives rise to the claim during the twelve (12) months immediately prior to the event giving rise to such liability.

2.7.3 Exclusion of Liability. In no event shall either party or its affiliates be liable to the other for any indirect or consequential losses or damage, or any loss of revenues, profits, opportunities, customers, goodwill, reputation, or data/data use, arising from or in connection with this Agreement, even though either party or its affiliates have been informed or aware of such loss or damage or the possibility of such loss or damage to be caused by the other party.

2.9.3 Uploaded Data: data or weight files uploaded when creating or tuning models on this Platform, which may change parameters or code of algorithms and models on this Platform.

2.9.4 Prompts: content that you or your end users provided when using Model Inference.
