Pangu Large Models (PanguLM) Service Agreement

This Service Statement (hereinafter referred to as "this Statement") describes your rights, obligations, and responsibilities when you use Huawei Cloud services. Please read and understand the terms thoroughly, especially those highlighted in bold. They include limitations and exclusions of liability, and significantly affect your rights.

You understand and agree that by using any service as stated under this Agreement, you are deemed to have read and agree to the General Terms of Service in this Agreement and the Dedicated Terms of Service for the service you use. By using any service under this Agreement, this Agreement shall become legally binding on you. If you do not agree to part or all of the terms of this Agreement, you shall stop using any such related services.

1. General Terms of Service

1.1 Contracting Entity. This Agreement is entered into by and between Huawei Cloud Contracting Party ("Huawei Cloud" or "We") as defined in Section 15.4 of the Huawei Cloud Customer Agreement and you ("User"). Once this Agreement takes effect, it has legal effect between you and Huawei Cloud. The contracting entity displayed in your account center shall prevail. In the event that you register on behalf of a company or other legal entity, you represent and warrant that you are an authorized representative of the company or legal entity to bind such company or legal entity to the terms of this Agreement.

1.2 Separate Agreement: If you subscribe to this Service offline, purchase this Service through our partners, or purchase partner products that integrate this Service, you may sign a separate agreement with us or our partners. You acknowledge and agree that you will remain bound by the separate agreement mentioned in this article if you are authorized to access and use this Service.

1.3 Agreement Update: This Agreement is subject to change. We will notify you of any changes to this Agreement by posting a notice on our website or by other means. You can also visit our website to read the latest service agreement. If you do not agree to part or all of the latest version of this Agreement, please stop using this Service. By continuing to use this Service, you acknowledge that you are aware of and agree to the latest version of this Agreement.

1.4 Your Input

1.4.1 The definition and related regulations of "Your Input" are subject to the Huawei Cloud Customer Agreement (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_cua.html).

1.4.2 In terms of Your Input, except as required by laws and regulations or for your use of this Service, Huawei Cloud is entrusted to process your data only in accordance with your authorization and instructions and the agreement between you and us.

1.4.3 You have the right to upload, delete, and modify Your Input. Exercise caution when deleting or modifying data and you shall solely bear the consequences of these operations.

1.4.4 You shall back up your data as required. Huawei Cloud provides data backup services only in accordance with relevant laws and regulations.

2. PanguLM Service Terms

2.1 Service Content

The Pangu Large Models (PanguLM) service (hereinafter referred to as "this Service") is a one-stop large model development and application platform provided by Huawei Cloud. ModelArts Studio supports customization of large models and provides a full-lifecycle large model toolchain. This Service is intended only for enterprises and other organizations. It provides functions including but not limited to data engineering, model development, and application development. You can select the functions of this service as required to build your own models and applications. The Pangu model inference service allows you to use Pangu models through model instances. A comprehensive large model system solution that integrates these models with platform capabilities is also provided.

● Data engineering

Data engineering includes tasks such as data import, cleaning, processing, management, and more. You can perform a range of operations on uploaded data assets, such as data cleaning.

● Model import

The model import function enables you to customize and upload your own models. Based on the uploaded model assets, you can carry out development tasks like model training and inference.

● Model development

Model development includes model inference and model training. Model inference allows you to call and use a large model through APIs. The model returns outputs based on the prompts you provide. With the model training function, you can use specific datasets to fine-tune a large model to create an industry-specific model tailored to your enterprise's needs. The fine-tuned model can then be accessed and called online by users.

● Application development

Application development supports multiple development kits, including prompt engineering, prompt management, workflow application orchestration, and agent application orchestration. After an application is orchestrated and published, a corresponding API is generated for integration into your own service processes, enabling you to build customized solutions efficiently.

You can submit a service experience request through https://www.huaweicloud.com/intl/en-us/product/pangu.html. Please note that whether you are granted access to the service experience is at our discretion.

2.2 Security and Data Privacy

a) Processing of Your Input: Your Input refers to all data, software, text, images, videos, and audio processed (including collection, storage, use, processing, transmission, provision, disclosure, and deletion) by you or your end users on this Service in any format. Your Input includes but is not limited to datasets and models uploaded by you and/or your end users, as well as your deployed models and their inputs and outputs. You shall be responsible for the legality of your input source and processing and ensure that the input data complies with applicable laws and regulations.

If it contains personal data, you are responsible for ensuring its lawful origin or anonymizing it, and you assume full responsibility for the data's compliance during processing. We will process your personal data in accordance with the Huawei Cloud Data Processing Rules (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_dpa.html) signed between you and us.

b) Processing of Your Personal Data: As part of this Service, we will respect and protect your personal data—including but not limited to the email address or phone number used to communicate with you—in accordance with the Huawei Cloud Privacy Statement. You can view the Huawei Cloud Privacy Statement at https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_prp_intl.html.

c) Processing and retention: We will take manual or technical measures to review Your Input and the corresponding model output for security compliance. If we determine that Your Input or the resulting output violates Article 2.3, we reserve the right to unilaterally and immediately: (1) delete Your Input and the corresponding model output (such as your input images and text); and (2) suspend or terminate the provision of this Service to you. Your Input will be deleted immediately after the inference job is completed. Our review does not exempt you from your obligations as the primary owner of the above content.

d) Disclosure to Third Parties: We will not disclose Your Input to third parties without your explicit consent. However, we may disclose Your Input in accordance with applicable laws, legal processes, litigation or arbitration, and government mandates. You shall not disclose the outputs of this Service or related information to any third party without Huawei Cloud's authorization.

2.3 Restrictions

You or your end users shall not use this Service in any of the following ways:

a) Penetrate into the model development and application platform ModelArts Studio of this Service to steal assets such as platform functions, or disassemble, decompile, translate, or otherwise attempt to discover the source code or parameters of the components, systems, or other computer programs of this Service;

b) Attack this Service by any means, including but not limited to induced questions;

c) Use this Service or the outputs of this Service to develop and train models other than foundation models or fine-tuned models without or beyond the authorization of Huawei Cloud;

d) Extract data or output from this Service using any automated or programmatic method, including crawling, scraping, web collection, or web data extraction;

e) Cause confusion or misunderstanding among third parties;

f) Sell, resell, or transfer this Service without our prior written consent;

g) Send or enter any information that may bring risks to Huawei Cloud (such as discriminatory data, data containing Trojan horses, viruses, malware, or any other content that may affect the security and stability of this Service);

h) Use this Service for any infringement of any person's rights (interests) or conduct any violation of laws and regulations, including committing cyber crimes, generating false information, infringing third-party rights and interests (including but not limited to copyrights, patents, trademarks, trade secrets, and portrait rights), implementing unfair competition by leveraging advantages such as algorithms, data, and platforms, or use the functions of this Service to attack other services and organizations;

i) Use this Service to engage in any behavior that violates the Acceptable Use Policy;

j) Have any conduct (including act or omission) that may bring risks or losses to us.

In the event of the above-mentioned behavior, we have the right to unilaterally suspend or terminate the provision of this Service and require you to compensate us for the actual losses caused thereby. In addition, we do not need to refund the cloud service fee and corresponding support service fee you have paid.

2.4 Cooperation You Need to Provide

a) Data quality: When using this Service, you shall review the security compliance of your data content to ensure it adheres to applicable laws, regulations, public order, and social norms, and does not contain pornographic, violent, drug-related, or other malicious content. Ensure that its use does not infringe upon others' intellectual property, trade secrets, or personal data. Your data upload and usage must not jeopardize the legitimate rights and interests of any party. You must assess the quality of Your Input to ensure that it is authentic, accurate, objective, secure, diverse, and complete.

b) Model development: After fine-tuning or compressing a model on this platform, you are required to implement security measures—such as access control and file encryption—to ensure the security of the model files under your control. When using a preset model, an imported model, or a newly generated model after fine-tuning for inference and application, you should implement security measures—such as anti-DDoS and anti-prompt injection—to ensure the normal operation of your model inference and application.

c) Model import: The right holders of the models in the Model Import module on this Platform are third parties. You must ensure that you comply with all applicable laws, regulations, and rules when accessing, using, or allowing others to access or use the imported models on this Platform, strictly comply with the use requirements or specifications proposed by third parties, such as model license agreements. You must carefully review models or model outputs before using them or authorizing others to use them. You must ensure that your and your end users' downloads, copies, use, and modifications comply with relevant laws and regulations as well as the agreements between you and third parties, do not infringe upon the legitimate rights and interests of any third party, and bear the consequences.

d) Model inference: When you use model outputs in this Service or provide services to your end users, you must comply with relevant laws and regulations. You should monitor and audit the model's outputs and behavior, use appropriate techniques and standards to ensure its accuracy and reliability, and provide end users with clear and accurate information and guidance. The models deployed on this Platform and their outputs do not represent the viewpoints of this Service. Use this Service with caution.

e) You shall comply with all applicable laws and regulations when using this Service. This includes, but is not limited to, obtaining necessary licenses, registrations, approvals, ensuring content security, identification, content compliance reviews, developing algorithm mechanisms, and conducting ethics reviews in accordance with applicable laws and regulations, when you are providing services in specific industries such as education, healthcare, or banking, or when you are offering services to your end users. We reserve the right to modify the functions and methods of this Service in response to changes in business development or applicable laws and regulations. We may also suspend or terminate all or part of this Service as needed.

f) You acknowledge and agree that when you use the model training and application development features of this Service, you can use the aforementioned features to provide services to your end users without violating other related clauses in this Agreement, you have the right to determine the method, purpose, and form of providing services to your end users within the validity period of this Agreement, including but not limited to whether to collect and process personal data. Huawei Cloud will not participate in or influence your decisions and actions, and will not assume any responsibility for your actions. You will bear any adverse consequences or disputes arising from your actions. If your end user or a third party claims compensation against Huawei Cloud, you must defend us at your own expense and compensate us for any losses, costs, and expenses caused by the court's final decision or settlement with the third party.

2.5 Disclaimer

a) Acceptable Use Policy. In addition to the terms and conditions of this Agreement, you agree to comply with the Acceptable Use Policy. This Policy is cited as part of this Agreement.

b) You acknowledge and agree that when you use this Service, you shall ensure that Your Input complies with applicable laws and regulations as well as the terms of this Agreement, in order to avoid any potential risks or losses to Huawei Cloud. If Your Input causes any loss to Huawei Cloud or any third party, you shall be fully responsible for the resulting liabilities.

c) If you discover that this Service violates applicable laws and regulations or may have a negative impact on you or Huawei Cloud, and wish for us to make corrections, you can contact us via pangufeedback@huawei.com or use the feedback function in the Experience Center module of this Platform to submit a correction or complaint request. We will take appropriate measures in a timely manner after receiving your request.

d) If we discover or receive reports or complaints from others, or reasonably believe that you have violated this Agreement, any prior online agreement, or applicable laws and regulations, Huawei Cloud has the right to delete relevant content and take appropriate action based on the specific circumstances. Such actions may include, but are not limited to, restricting or prohibiting your use of some or all features of this Service, suspending or terminating other Huawei Cloud services, freezing or deregistering your account, and announcing the result of such actions. 2.6 Other Special Notes

2.6.1 Compensation and Limitation of Liability

Compensation. If you breach any agreements with us or violate applicable laws, you will be liable for any claims, losses, and expenses (including attorney fees) and for any damages to us or third parties. If a third party claims compensation against Huawei Cloud or we are punished by a regulator because of your actions, you shall defend us at your own expense and compensate us for any losses, costs, and expenses caused by the court's final decision, penalties imposed by the regulator, or settlement with the third party.

Limitation of Liability. Notwithstanding anything to the contrary, our aggregate limit of liability in respect of any loss, damage, fines, liability, charge, proceeding, expense, outgoing, or cost of any nature or kind incurred by us or our affiliates arising from or in connection with this Agreement, whether in contract, misrepresentation (whether tortious or statutory), tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by you hereunder for this Service that gives rise to the claim during the twelve (12) months immediately prior to the event giving rise to such liability.

Exclusion of Liability. In no event shall either party or its affiliates be liable to the other for any indirect or consequential losses or damage, or any loss of revenues, profits, opportunities, customers, goodwill, reputation, or data/data use, arising from or in connection with this Agreement, even though either party or its affiliates have been informed or aware of such loss or damage or the possibility of such loss or damage to be caused by the other party.
