This service agreement (hereinafter referred to as "this Agreement") describes your rights, obligations, and responsibilities when you use related services. Please carefully read and make sure you fully understand the terms of this Agreement, especially those highlighted in bold, which may have significant impact on your rights, such as limitations and exclusions of liability.

You understand and agree that by using any services in this Agreement, you are deemed to have read and agreed to the General Terms of Service and the Dedicated Terms for the services you are using and that this Agreement shall become legally binding on you. If you do not agree to part or all of the terms of this Agreement, you shall stop using related services.

1. General Terms of Service

1.1 Contracting Entity

This Agreement is entered into by and between you (or "user") and Huawei Cloud Contracting Party ("Huawei Cloud" or "we"). The specific contracting entity of Huawei Cloud shall be subject to the contracting entity displayed in your account center. Once this Agreement takes effect, it is legally binding on you and Huawei Cloud. In the event that you register on behalf of a company or other legal entity or you use related services in any other manner permitted by Huawei Cloud, you represent and warrant that you are authorized to bind that company or legal entity to the terms of this Agreement.

1.2 Separate Agreement

If you subscribe to related services offline or purchase them through our partners, you may sign a separate agreement with us or our partners. You understand and agree that your access to and use of the related services will be governed by both this Agreement and that separate agreement.

1.3 Agreement Update

This Agreement is subject to change at any time. We may notify you of any changes to this Agreement by posting notice on our website or by other means. You can also visit our website to read the latest version of this Agreement. If you do not agree to any part of the latest version of this Agreement, you must stop using the related services. By continuing to use them, you understand and agree to the latest version of this Agreement.

1.4 Your Content

1.4.1 Unless otherwise provided in this Agreement, the definition of "Your Content" and related regulations shall be subject to the Huawei Cloud Customer Agreement (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_cua.html)

1.4.2 Unless otherwise required by applicable laws and regulations or otherwise agreed in a separate agreement, Huawei Cloud is entrusted to process Your Content only in accordance with your authorization and instructions.

1.4.3 You have the right to upload, delete, and modify Your Content. Exercise caution when performing these operations and you shall solely bear the consequences of such operations.

1.4.4 You are responsible for backing up Your Content. The specific scope, method, and frequency of the backups are determined by you based on your actual situation.

2. CodeArts Agent Terms of Service

2.1 Service Content

CodeArts Agent (hereinafter referred to as the "Service") is an intelligent development assistant provided by Huawei Cloud. It offers intelligent code generation and Q&A capabilities, reshaping software R&D and enabling developers to focus better on service innovation. CodeArts Agent is made available through integrated development environment (IDE) plug-ins, an AI IDE, and open APIs for integration into multiple application scenarios.

2.2 Collection and Processing of Your Personal Data

You acknowledge and agree that we can process your personal data as necessary to provide the Service. If you do not consent to our processing of your personal data, we will be unable to provide you with the service.

2.2.1 Types and Purposes of Personal Data

1. When you submit feedback regarding the Service, we collect your email address and mobile phone number to respond to your request and improve the Service.
2. When you use CodeArts Agent, we collect information relating to your use of the Service and activity records, including the software name and version, plug-in name and version, used models and features and usage frequencies, likes, dislikes, accepted code, rejected code, and skill names. This information is collected to provide you with basic features and core services of the CodeArts Agent console, as well as to continuously improve product performance and service quality. 
3. When you use CodeArts Agent, we collect certain device information, including your operating system version and CPU and memory specifications. This information is collected to provide you with basic features and core services of the CodeArts Agent console, as well as to continuously improve product performance and service quality.

2.2.2 Personal Data Storage Location

1. Your email address and mobile phone number are stored in Hong Kong (China).
2. Your operation records and device information are stored in Hong Kong (China) and Singapore.

2.2.3 Personal Data Retention Period

1. Your email address and mobile phone number will be deleted promptly after your feedback request has been processed and will not be retained thereafter by Huawei Cloud.
2. Your operation records and device information will be retained for a period of up to five (5) years.

2.2.4 Personal Data Sharing and Entrusted Processing

Where necessary to perform our contract with you or where you have provided your consent, we may share or entrust the processing of the above personal data with Huawei Cloud's affiliated entities for the purposes of responding to your requests and improving the Service. We will ensure that such affiliated entities process your personal data only for the purposes described above and implement appropriate technical and organizational measures to protect your personal data.

2.2.5 Cross-border Transfer of Personal Data

To perform our contract with you, you acknowledge and agree that we may transfer your email address and mobile phone number to Huawei Cloud's affiliated entities in the Chinese mainland for the purpose of processing your feedback regarding the Service. We may also transfer your operation records and device information to Huawei Cloud's affiliated entities in Singapore for the purpose of improving the Service. Huawei Cloud will enter into a Data Transfer Agreement (DTA) with its affiliated entities receiving your personal data outside the Chinese mainland to ensure that they comply with applicable obligations as recipients of personal data. Such obligations include, without limitation, processing your personal data solely for the purposes described above and implementing appropriate technical and organizational measures to safeguard your personal data.

2.2.6 Unless otherwise provided in this Agreement, you understand and agree that Huawei Cloud will collect, use, and process your personal data in accordance with the Privacy Statement (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_prp.html) during the entire service process. Huawei Cloud will respect and protect your privacy in accordance with this Privacy Statement.

2.3 Data Processing of Your Content

2.3.1 Processing Personal Data in Your Content

You acknowledge and agree that you are solely responsible for ensuring that the collection, use, disclosure, and transfer of any personal data contained in Your Content comply with applicable data protection laws. To the extent that Your Content contains personal data, you appoint Huawei Cloud as your data processor to process such personal data solely for the purpose of providing the Service. Such processing is described below.

(a)  Types and purposes

To provide features such as intelligent R&D Q&A and intelligent code generation and to continuously improve product performance and service quality, we process the information you submit, including but not limited to the following:

(1) To provide Intelligent R&D Q&A, we process and temporarily record the content you submit, including voice, text, and image inputs, in order to generate responses to your requests.

(2) To provide intelligent code generation, we process your code context, including the files and directories that you authorize the Service to access, in order to generate code.

(b)  Retention

Upon completion of the requested processing activities, any personal data contained in Your Content will be deleted promptly and will not be retained by Huawei Cloud.

(c)  Location

Voice input, code context, text input, and image input are processed in the Chinese mainland.

(d)  Sub-trustees

Where necessary to perform our contract with you or where you have provided your consent, we may entrust the processing of your personal data to Huawei Cloud Computing Technologies Co., Ltd., which processes your voice input, code context, text input, and image input for multimodal features and LLM inference. We will enter into Data Processing Agreements (DPAs) with the processor to ensure that they process your personal data solely for the purposes described above and implement appropriate technical and organizational measures to protect your personal data.

(e)  Cross-border transfer

Where required to perform our contract with you or where you have provided your consent, we may transfer your voice input, code context, text input, and image input to Huawei Cloud Computing Technologies Co., Ltd. in the Chinese mainland for multimodal features and LLM inference. We will enter into DTAs with the recipient to ensure that they comply with applicable obligations as the recipient of personal data transferred across borders. Such obligations include, without limitation, processing your personal data solely for the purposes described above and implementing appropriate technical and organizational measures to protect your personal data.

Unless otherwise specified in this Agreement, we will process the personal information contained in Your Content in accordance with the Data Processing Addendum (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_dpa.html).

2.4 Ownership Agreement

2.4.1 When you use this Service, within the scope of applicable laws and regulations, the input you provide remains yours or belongs to its original owner. We do not claim ownership of the model outputs generated from your use of this Service; however, we retain the necessary licenses for use (such as for service operations and compliance reviews). If the output includes content we own, those rights remain ours and are not affected by inclusion in the input or output. You are responsible for the agent outputs and related usage. Ensure that your actions, such as downloading, copying, using, modifying, commercializing, developing, and training, comply with applicable laws and third-party agreements. You must not infringe upon any third-party rights. If your actions cause losses to us or our affiliates, you are liable for compensation.

2.5 Requirements and Restrictions

2.5.1 CodeArts Agent is provided as an extension (or plug-in) or AI IDE. You are responsible for installing a compatible IDE prior to using this Service. If data leakage occurs because of unauthorized OS or IDE, or infection by Trojans, you understand and agree to bear the consequences and ensure that Huawei Cloud will not suffer any losses. To ensure the security of your data and code, please upgrade the AI IDE and extension (or plug-in) in a timely manner. If known vulnerabilities are not fixed due to failure to upgrade the version, you shall bear the risks and liabilities arising therefrom. Huawei Cloud shall not bear any legal or joint and several liabilities.

2.5.2 You shall not use CodeArts Agent to engage in any activities that violate laws or regulations. You shall not develop illegal applications (such as malware or network attack software) for illegal purposes, such as endangering national security and public interests, disrupting economic and social order, or infringing upon the legitimate rights and interests of others. In the event of any of the above, we have the right to unilaterally suspend or terminate the provisioning this Service to you and ask you to compensate us for any and all losses arising therefrom. In addition, we have the right to withhold any cloud service fees or support service fees you have already paid.

2.5.3 You shall conduct security compliance review on your content, take effective measures to ensure the quality of your content data, and ensure that your content complies with applicable laws and regulations, policies, and public order and good customs, and does not contain pornographic, violent, or drug-related content, or any other content that may affect the security and stability of the AI models, including Trojans, viruses, other malware, or prompts designed to circumvent content safeguards. You shall ensure that your content and the act of uploading and using the content do not infringe upon the legitimate rights and interests of any entity, including intellectual property rights, trade secrets, and personal data, and comply with applicable laws and regulations.

2.5.4 You and your end users shall carefully evaluate the risks before using the AI services. You shall ensure that the decisions made based on the output of the AI models are manually reviewed, and you shall bear all consequences arising from the use of the output of this Service. If any loss is caused to us and our affiliates as a result, you shall be liable for the compensation.

2.5.5 You understand and agree that when you provide services to your end users through this Service, you, as the service provider, shall comply with applicable laws and regulations and fulfill relevant obligations, including but not limited to obtaining qualification licenses and permits, security assessment, archiving, content identification, content compliance review, and algorithm mechanism construction.

2.5.6 Content Generation Identification

(a) When you use this Service, the model outputs are generated by the AI based on your inputs. We will add identifiers in appropriate positions on the model outputs in accordance with applicable laws and regulations. Please read them carefully.

(b) When you use this Service to provide services to your end users, add content identifiers to the generated text, images, audio, and video. Furthermore, you shall not maliciously delete, tamper with, forge, or conceal the generated/synthetic content identifiers of this Service or third parties to mislead third parties into believing that AI-model outputs are human-generated. You shall not provide tools or services for others to carry out the aforementioned malicious acts, and you shall not infringe upon the legitimate rights and interests of others through improper identification or labeling practices.

2.5.7 You understand and agree that, during the use of this Service, you shall not conduct penetration testing against this Service to steal AI models, data, or other assets; nor shall you reverse assemble, reverse compile, translate, or otherwise attempt to discover the source code or parameters of the models, components, algorithmic systems, or other computer programs used by this Service. You shall not use any automated or programmatic methods to extract data from the AI model outputs, including web crawlers, scraping, web harvesting, or web data extraction.

2.6 Service Pricing

2.6.1 Billing has been described on the package subscription page. You agree to pay for the service based on this package description. The Service reserves the right not to provide you with services and/or technical support, and the right to terminate the services and/or technical support, until you pay all amounts due, as agreed.

2.6.2 You can view the usage of your resources, such as tokens, through the subscription management and personal usage functions. You can also manage model usage through the usage settings function. We recommend that you closely monitor your token usage and billing information to avoid incurring excess charges. If output is interrupted and lost due to unpaid bills, you will be responsible for the consequences.

2.7 Risk Disclosure and Limitation of Liability

2.7.1 You shall understand and agree that the code displayed by this Service is provided solely as a recommendation. Huawei Cloud and this Service do not generate or write code on your behalf. If you choose to accept any recommended code, it shall be deemed that you authored such code. Huawei Cloud and this Service make no express or implied warranties regarding the security, defect-free nature, quality, or compatibility of any recommended code. You are solely responsible for the quality of your code, whether authored independently or based on this Service's recommendations. When using code recommended by this Service, you are advised to take the same precautions you would if you wrote the code yourself, which include rigorous testing, IP scanning, and vulnerability tracking.

2.7.2 CodeArts Agent provides knowledge base management functionality. We make no express or implied commitment or guarantee regarding the availability, reliability, correctness, security, update, or upgrade of knowledge bases you use. The running, operation, and use of your service are at your own discretion and risk.

2.7.3 CodeArts Agent provides only the MCP framework functionality. We make no express or implied commitment or guarantee regarding the availability, reliability, correctness, security, update, or upgrade of MCP you use. The running, operation, and use of your service are at your own discretion and risk.

2.7.4 When using third-party provider models, you understand and agree that Huawei Cloud does not provide any guarantee in any form. Huawei Cloud does not guarantee the compliance, security, accuracy, integrity, or authenticity of the models or their outputs on the platform, and shall not be liable for any damage caused by these models or their output. Such models and their output do not represent the views of Huawei Cloud. Any content that you download or otherwise obtain through this Service, and any risks and responsibilities arising from your use of such content, shall be borne by you. Any dispute arising from your use of third-party provider models shall be resolved by you and the third-party provider. Huawei Cloud shall not assume any responsibility.

2.7.5 Huawei Cloud is dedicated to improving our services. You understand and agree that, despite our best reasonable efforts, we cannot guarantee the compliance, security, accuracy, integrity, or authenticity of AI services and model outputs in this Service due to current industry limitations. When using this Service, make rational judgments and exercise caution. Also, if defects are unavoidable given the current state of the art, they will not be considered a breach of contract.

2.7.6 Huawei Cloud may use manual or technical methods to review your content, inputs, and model outputs for basic security and compliance. If your content, inputs, or model outputs violate laws, regulations, or this Agreement, we can delete the content and suspend or terminate services. You are responsible for the security and compliance of your content, inputs, and model outputs. Huawei Cloud's reviews do not guarantee your content or reduce your compliance obligations. If Huawei Cloud or a third party incurs losses due to your content, inputs, or model outputs, you are liable for those losses.

2.7.7 If you violate applicable laws and regulations, infringe upon the legitimate rights and interests of third parties, or breach the terms of this Agreement, Huawei Cloud has the right to suspend or terminate the provision of all or part of the services to you. You shall be liable for compensating us for any losses caused thereby.

2.7.8 CodeArts Agent provides AI-assisted services, such as intelligent generation, Q&A services, and assistance in performing related operations. You need to provide your content, such as text, code context, and project information. A large model will interpret your operational intent based on your input and generate corresponding output, such as command-line instructions, code, and text. With your consent, CodeArts Agent will assist you in invoking local devices, systems, and third-party software and tools to perform further operations, such as accessing, writing, and deleting resources, devices, and software (hereinafter referred to as "operations").

Due to the technical limitations of AI agents and large models, you understand and agree that:

(a) This Service provides AI assistance only. To assist you in performing operations, CodeArts Agent will prompt you during the service process to confirm whether to continue execution. You may choose to enable Auto Running in the dialog box or by going to Settings > Conversation Flow > Agent. You acknowledge and agree that, regardless of whether you choose to execute the operation manually or enable automatic running, Huawei Cloud does not intervene in the execution process or the results of such assistance. Any operations performed based on the output content shall be deemed your independent actions, and you shall bear sole responsibility for such operations.

(b) Large models have inherent limitations and may not accurately or correctly interpret your input. The agent may also make errors, deviate from your instructions, or otherwise fail to meet your expectations when performing operations. We make no commitments or guarantees regarding the model output or the agent's execution assistance.

(c) Operations performed by the Service based on the output content may involve risks or potential risks. Before enabling this Service, you shall fully assess the risks in your use scenarios, implement appropriate control measures commensurate with such risks, and assume sole responsibility for the operations performed through this Service and their results. Such risks may include:

i: Operations that may have a significant impact on your rights and interests, including but not limited to modifying key system settings, logging in to third-party software using your account and password, making payments, and signing legal agreements.

ii: Operations that may have irreversible impacts on your rights and interests, including but not limited to writing files, deleting files in batches, data storage failures, data loss, data overwriting, and data modification.

iii: Other consequences that may have significant or irreversible impacts on your rights and interests.

(d) To address the foregoing risks, you shall:

i: During the service process, not enter any personal data or sensitive data or perform other operations that may have a significant impact on your rights and interests, including but not limited to entering account passwords, making payments, or signing legal agreements.

ii: Back up important data and configure key permissions in advance.

iii: Take other necessary security risk control measures, including but not limited to identity security protection, network security protection, operational security protection, and supply chain security protection.

2.7.9 If you add skills or rules yourself, you understand and agree that we shall not be liable for any responsibilities arising therefrom. You shall ensure the reliability, security, and compliance of such skills or rules. If any loss is caused to us, you shall be liable for such loss. If you use built-in skills, you understand and agree that we may remove or update such skills at any time in accordance with applicable laws and regulations, this Agreement, or for commercial reasons.

2.7.10 You bear responsibility for any of the functions described below that you add, regardless of whether you or a third party holds the relevant rights. We hereby remind you that misconfiguration may result in task failures or other risks. You understand and agree that you are solely responsible for the operation and use of such functions and shall bear the associated risks. We do not guarantee the compliance, security, accuracy, completeness, or authenticity of any third-party technical services obtained from external sources and shall not be liable for any damages arising therefrom. If your use of such services causes any loss to us, you shall bear the corresponding responsibilities. The functions that you may add to the Services include, but are not limited to, the following:

(a) Sub-agents: A sub-agent is an AI assistant that you create for the primary agent to handle specific types of tasks and return the results to the primary agent. CodeArts Agent allows you to add project-level and personal sub-agents.

(b) Hooks: Hooks allow you to insert custom logic into the CodeArts Agent IDE and key extension (plug-in) lifecycle nodes to extend functionality.

2.7.11 We are committed to maintaining the normal operation of this Service using currently available technologies. However, to comply with applicable laws, regulations, requirements of regulatory authorities, or relevant agreements, or for business reasons, we may suspend, terminate, or remove this Service or certain features of this Service and will provide you with notice within a reasonable period thereafter.

2.7.12 You understand and agree that, due to limited compute resources during peak hours, we cannot fully guarantee the queuing time for CodeArts Agent tasks.

2.7.13 This service is only available in non-EU regions. If you use this service in the EU region, you shall assume any risks, liabilities, or losses arising therefrom. If Huawei Cloud suffers any losses due to the aforementioned actions, you shall be liable for corresponding compensation.

2.8 Open-Source Software Notice

For the open-source software notices that may apply to certain content of the Service, please refer to https://www.huaweicloud.com/intl/en-us/declaration-sg/open-source-software-notice-codearts-agent.html.

2.10 Definitions

2.10.1 Input: The content you or your end users input when using this Service.

2.10.2 Output: The content generated by the model/agent application based on the input from you or your end users.

2.10.3 Your Content: In addition to the definitions and related provisions in the Huawei Cloud Customer Agreement, for the purposes of this Service, it includes but is not limited to the input from you or your users, and the knowledge bases, skills, and rules uploaded by you or your users.
