This Service Agreement (hereinafter referred to as “this Agreement”) describes your rights, obligations, and responsibilities of using related services. Please carefully read and make sure you fully understand the terms of this Agreement, especially those highlighted in bold, which may have a significant impact on your rights and interests, such as limitations and exclusions of liability.

You understand and agree that by using any services in this Agreement, you are deemed to have read and agreed to the General Terms of Service and the Specific Terms of Service corresponding to the services you are using and that this Agreement shall become legally binding on you. If you do not agree to part or all of the terms of this Agreement, you shall stop using related services.

1. General Terms of Service

1.1 Contracting Entity

This Agreement is entered into by and between you (or "user") and relevant Huawei Cloud Contracting Party ("Huawei Cloud" or "we"). The specific contracting entity of Huawei Cloud shall be subject to the contracting entity displayed in your account center. Once this Agreement takes effect, it is legally binding on you and Huawei Cloud. In the event that you register on behalf of a company or other legal entity or you use related services in any other manner permitted by Huawei Cloud, you shall represent and warrant that you are authorized to bind that company or legal entity to the terms of this Agreement.

1.2 Separate Agreement

If you subscribe to related services offline or purchase them through our partners, you may sign a separate agreement with us or our partners. You understand and agree that your access to and use of the related services will be governed by both this Agreement and the separate agreement.

1.3 Agreement Update

This Agreement is subject to change from time to time. We may notify you of any changes to this Agreement by posting notice on our website or by other means. You can also visit our website to read the latest version of this Agreement. If you do not agree to any part of the latest version of this Agreement, please stop using the related services. By continuing to use them, you acknowledge that you understand and agree to the latest version of this Agreement.

1.4 Your Content

1.4.1 Unless otherwise provided in this Agreement, the definition of "Your Content" and related provisions shall be subject to the Huawei Cloud Customer Agreement (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_cua.html).

1.4.2 Unless otherwise required by applicable laws and regulations or otherwise agreed, Huawei Cloud is entrusted to process Your Content only in accordance with your authorization and instructions.

1.4.3 You have the right to upload, delete, and modify Your Content. Exercise caution when performing these operations and you shall solely bear the consequences of such operations.

1.4.4 You are responsible for backing up Your Content. The specific scope, method, and frequency of the backups are determined by you based on your actual situation.

2. Terms of Service for Intelligent Video Analysis Service

2.1 Service Content

Video Intelligent Analysis Service (hereinafter referred to as the "VIAS " or "the Service") is an integrated platform that provides multiple capabilities such as AI intelligent analysis and early warning event reporting. Relying on the technical advantages of Huawei Cloud's artificial intelligence and big data, it realizes event perception, detection, and analysis in scenarios such as smart parks, urban governance, smart water affairs, and smart transportation, helping to close business loops.

2.1.1 Application Scenarios of the VIAS

The application scenarios of the Service include comprehensive management of commercial and residential parks, safety management of industrial parks, stations, venues, construction sites, as well as urban governance, etc.

2.1.2 Introduction to Algorithms of the VIAS

The Service provides you with various visual capability algorithm packages and algorithm services. You can independently select the required algorithm packages or services according to your own needs.

You can view the product documentation of the VIAS (https://support.huaweicloud.com/intl/en-us/productdesc-vias/vias_01_0001.html)to learn more about the application scenarios, algorithms, and other contents of the VIAS in detail.

2.2 Collection and Processing of Your Personal Data

For the entire service process, you understand and agree that Huawei Cloud has the right to collect, use, process, etc., your personal data that may be involved in accordance with the Privacy Policy Statement (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_prp.html). Huawei Cloud undertakes to respect and protect your privacy in accordance with the provisions of the Privacy Policy Statement.

2.3 Processing of Your Content Data

2.3.1Processing of Personal Data Contained in Your Content Data

You understand and agree that you are responsible for the legality of the collection, use, transmission, and other processing of the video data you provide to the VIAS in accordance with applicable personal data protection laws. Huawei Cloud is entrusted to process the video data you provide, and the processing is described as follows:

1)Types of Personal Data Processed and Processing Purposes

When you specify that VIAS reads your video from Object Storage Service (OBS) of Huawei Cloud or third-party systems, VIAS processes your video to extract alarm event images from the video.

If you select the output method as OBS, VIAS will store the alarm event images in the specified OBS.

2)Duration of Personal Data Processing

The video data provided by you will be deleted immediately after the processing activities of the Service are completed.

3)Location of Personal Data Processing

The personal data Location of the processing is the location of the region where the Service you select is located.

4)Sub-personal Information Trustees

We will not entrust the personal data contained in your content to third parties for processing.

5)Cross-border Transmission of Personal Data

We will not transfer the personal data contained in your content outside the region where the Service you selected is located.

You understand and agree that both parties will process the personal data that may be contained in your content in compliance with the Data Processing Addendum  (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_dpa.html).Huawei Cloud undertakes to process the personal data contained in your content in compliance with the Data Processing Addendum.

2.4 Ownership Agreement

When you use this Service, subject to applicable laws and regulations, the input you provide remains the property of you or its original rights holder. We do not claim ownership of the model outputs resulting from your use of this service, but we do reserve the necessary usage license (for service operation and other similar matters). If it includes content to which we hold rights, the corresponding rights shall still belong to us and shall not be altered in terms of ownership due to being included in the input or output content. You shall be responsible for the model outputs and related usage behaviors, ensuring that your downloading, copying, using, modifying, commercial use, secondary development, training, and other similar behaviors comply with the applicable laws and regulations as well as the terms of any third-party agreements, and do not infringe upon the lawful rights and interests of any third party. If such infringement causes losses to us and our affiliates, you shall bear the corresponding liability for compensation.

2.5 Usage Requirements and Restrictions

2.5.1 You shall conduct a security and compliance review of Your Content, and take effective measures to ensure the quality of Your Content. You shall ensure that your content complies with applicable laws, regulations, policies, and public order and good customs. It shall not include any inappropriate information such as pornography, violence, or drugs. It shall not contain any Trojan horses, viruses, malicious software, or any other content that may affect the security and stability of the AI models. You shall ensure that Your Content and your acts such as uploading and using it do not infringe upon the lawful rights and interests of any entity, including intellectual property rights, trade secrets, and personal data rights, and comply with applicable laws and regulations.

2.5.2 You and your end users shall conduct a prudent assessment before using the relevant AI services. You shall ensure that any decisions made based on the outputs of the AI model have undergone manual review, and you shall bear all consequences arising from the use of the outputs of this Service. If such use causes losses to us and our affiliates, you shall bear the corresponding liability for compensation.

2.5.3 You understand and agree that when you provide services for your end users based on this Service, as the service provider, you shall comply with applicable laws and regulations, and fulfill relevant obligations, including but not limited to obtaining necessary qualifications, licenses, and permits, conducting safety assessment, filings, content identification, content compliance reviews, and establishing algorithmic mechanisms and systems.

2.5.4 During the use of this Services, you understand and agree that you shall not conduct penetration testing against the AI model and its platform to steal assets such as AI models and data. You shall not disassemble, decompile, translate, or otherwise attempt to discover the source code or parameters of the models, components, algorithmic systems, or other computer programs used by this Service. You shall not use any automatic or programming methods to extract data from the AI model outputs, including crawlers, scraping, web collection, or web data extraction.

2.6 Risk Notice and Disclaimer

2.6.1 Huawei Cloud is committed to continuously improving our services. You understand and agree that, despite our best commercial efforts, due to the limitations of prevailing industry technical level and conditions, Huawei Cloud cannot fully warrant the compliance, security, accuracy, completeness, and authenticity of AI-related technical services and the outputs of models in this Service, nor can it warrant that this Service and the outputs of the models are entirely free from defects. Accordingly, when using this Service, you should make rational judgments and conduct prudent evaluations based on actual circumstances. You further understand and agree that if any defects of this Services are unavoidable under the prevailing industry technical level at the time, such defects do not constitute a breach of our obligations.

2.6.2 You understand and agree that this Service will only perform automated processing based on the data you provide. The outputs of the models in this Service are for your reference only and do not constitute any form of professional advice in the fields of medical, legal, financial and other such matters, nor can they substitute for actual experimental results or clinical diagnostic results. You should not rely on the outputs of the models in this Service, especially in situations where your or others' health or rights and interests may be significantly affected. Therefore, before using the outputs of the models or applying the outputs of the models to your business scenarios, you should make rational judgments and conduct prudent evaluations based on actual circumstances, and ensure compliance with applicable laws and regulations.

2.6.3 If you have committed acts that violate applicable laws and regulations, infringe upon the lawful rights and interests of a third party, or violate the requirements of this Agreement, Huawei Cloud has the right to suspend or terminate the provision of all or part of the services to you. If this causes us losses, you shall bear the corresponding liability for compensation.

2.6.4 We are committed to maintaining the normal operation of this Service based on existing technologies. However, to comply with applicable laws and regulations, agreements, or for commercial considerations, we may suspend, terminate, or delist this Service or certain functions of this Service at any time, and issue a notification to you within a reasonable time frame.

2.7 Contact us

You and your end users understand and agree that when using this Service, if you find that the model outputs do not comply with laws and regulations, or the Acceptable Use Policy, or any content that may have a negative impact on Huawei Cloud, or if you have any questions regarding this Service, you and your end users shall contact us through the "Contact Us" link at the bottom of the official website. You shall not disclose the aforementioned output or related information to a third party without authorization from Huawei Cloud.

2.8 Definitions

2.8.1 Input: The input content provided by you or "your end users" when using this Service.

2.8.2 Output: The output content generated by the model/agent based on the input provided by you or "your end users".

2.8.3 Your Content: In addition to the definitions and provisions set forth in the Huawei Cloud Customer Agreement, for the purposes of this Service, it includes but is not limited to the input provided by you or your end users, the knowledge base, skills, and rules uploaded by you or your end users.
