ModelArts Service Statement
This service agreement (hereinafter referred to as "this Agreement") describes your rights, obligations, and responsibilities when you use related services. Please read and understand the terms thoroughly, especially the terms that have a significant impact on your rights and interests, such as exemption from liability and limitation of liability. Such terms are in bold in this Agreement.
You understand and agree that by using any services in this Agreement, you are deemed to have read and agreed to the General Terms of Service and the Dedicated Terms for the services you are using and that this Agreement shall become legally binding on you. If you do not agree to part or all of the terms in this Agreement, you shall stop using related services.
1. General Terms of Service
1.1 Contracting Entity
This Agreement is entered into by and between you (or "user") and Huawei Cloud Contracting Party ("Huawei Cloud" or "we"). The contracting entity displayed in your account center shall prevail. Once this Agreement takes effect, it has legal effect between you and Huawei Cloud. In the event that you register on behalf of a company or other legal entity or you use related services in any other manner permitted by Huawei Cloud, you represent and warrant that you are authorized to bind that company or legal entity to the terms of this Agreement.
1.2 Separate Agreement
If you subscribe to related services offline or purchase them through our partners, you may sign a separate agreement with us or our partners. You understand and agree that your access to and use of the related services will be governed by both this Agreement and that separate agreement.
1.3 Agreement Update
This Agreement is subject to change at any time. We may notify you of any changes to this Agreement by posting notice on our website or by other means. You can also visit our website to read the latest version of this Agreement. If you do not agree to any part of the latest version of this Agreement, you must stop using the related services. By continuing to use them, you understand and agree to the latest version of this Agreement.
1.4 Your Content
1.4.1 Unless otherwise stipulated in this Agreement, the definition of "Your Content" and related regulations shall be subject to the Huawei Cloud Customer Agreement (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_cua.html)
1.4.2 Unless otherwise required by applicable laws and regulations or otherwise agreed in a separate agreement, Huawei Cloud is entrusted to process Your Content only in accordance with your authorization and instructions.
1.4.3 You have the right to upload, delete, and modify Your Content. Exercise caution when performing these operations and you shall solely bear the consequences of such operations.
1.4.4 You are responsible for backing up Your Content. The specific backup scope, method, and frequency are determined by you based on your actual situation.
2. ModelArts Terms of Service
2.1 Service Content
2.1.1 ModelArts is a one-stop AI development platform (hereinafter referred to as "this Platform") provided by Huawei Cloud for developers. It covers data preparation, training, inference, and reinforcement learning. The platform aims to transform AI technologies into efficient and easy-to-use productivity tools.
2.1.2 This Platform offers tools for the full lifecycle, covering data preparation, algorithm development, model training, deployment, live comparison, and resource management. It aims to reduce the technical challenges and time needed for AI application development, so developers can focus on service innovation.
2.2 Collection and Processing of Your Personal Data
Unless otherwise stipulated in this Agreement, you understand and agree that Huawei Cloud will collect, use, and process your personal data in accordance with the Privacy Statement (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_prp.html) during the entire service process. Huawei Cloud will respect and protect your privacy in accordance with this Privacy Statement.
2.3 Data Processing of Your Content
2.3.1 Processing Personal Data in Your Content
(a) If Your Content includes personal data, you must anonymize it. If you cannot anonymize the personal data and need to use this Platform, you must follow applicable laws and regulations. This includes getting permission from the data subject or having another legal basis. You must decide the types, methods, and purposes of personal data processing. We will process the personal data according to the Huawei Cloud Data Processing Addendum (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_dpa.html) you signed with us.
(b) We will not authorize third parties to use or disclose Your Content without your explicit authorization, except for providing you with this Platform's services.
(c) We will not use Your Content for any purposes without your explicit authorization, including for model training or tuning, except to provide you with this Platform's services.
2.3.2 Unless otherwise specified in this Agreement, we will process the personal data contained in Your Content in accordance with the Data Processing Addendum (https://www.huaweicloud.com/intl/en-us/declaration-sg/sa_dpa.html).
2.4 Security Configuration
2.4.1 Huawei will take reasonable measures to ensure the security and stable operation of physical infrastructure, compute resources, and this Platform. You are responsible for the security of your own or third-party models and applications. When using this Platform for model training and deployment, manage the security of your data, models, applications, training scripts, and datasets. This includes implementing security settings, fixing vulnerabilities, encrypting data, controlling access permissions, and establishing backup and recovery mechanisms.
2.4.2 You shall not share your notebook, model inference, or model training instances with untrusted users. You shall bear the consequences of any sensitive information leakage or system damage caused thereby.
2.4.3 When using any feature of this Platform, you must correctly authorize permissions through the IAM system. The platform needs to access other cloud services on your behalf during AI computation tasks, which requires your prior authorization. In the IAM system, this authorization is done through agencies. For example, when refining data in your OBS bucket, you are advised to use agencies for authorization.
2.4.4 Manually configure workspace authorization types to control user access permissions. If you do not configure these permissions, they will not be isolated, increasing the risk of misoperations affecting your account's resources and permissions.
2.5 Ownership Agreement
When you use this Platform, within the scope of applicable laws and regulations, the input you provide remains yours or belongs to its original owner. We do not claim ownership of the model outputs or newly generated models resulting from your use of third-party service provider models displayed on this Platform; however, we retain the necessary licenses for use (such as for service operations, compliance reviews, and more). If the output includes content we own, those rights remain ours and are not affected by inclusion in the input or output. You are responsible for the model outputs and related usage. Ensure that your actions, such as downloading, copying, using, modifying, commercializing, developing, and training, comply with applicable laws and third-party agreements. You must not infringe upon any third-party rights. If your actions cause losses to us or our affiliates, you are liable for compensation.
2.6 Requirements and Restrictions
2.6.1 This Platform offers public resource pools, dedicated resource pools, Lite Servers, and Lite Clusters. Public resource pools can only be used for non-production workloads related to testing, trial, and debugging. This Platform provides no commitments regarding the security, stability, or reliability of public resource pools, and public resource pools are not covered by any Service Level Agreement (SLA) guarantees. Do not deploy production workloads in public resource pools. This Platform provides SLA guarantees for dedicated resource pools, Lite Servers, and Lite Clusters, providing you with the necessary resources required for production workload deployment.
2.6.2 This Platform displays models provided by Huawei Cloud and models provided by third-party service providers. You shall ensure that you comply with applicable laws and regulations and strictly fulfill the usage requirements or specifications specified in the license agreement or other third-party agreements when accessing, using, or allowing your end users to access or use the models on this Platform. If you or your end users do not agree to any terms of the third-party agreements, you shall immediately stop using the corresponding models.
2.6.3 You shall be responsible for the security and legality of the third-party models, applications, and data you choose to connect to, and ensure that you comply with applicable laws and regulations when accessing, using, or allowing your end users to access or use the models, applications, and data. You and your end users shall strictly comply with the usage requirements or specifications specified by third parties, such as relevant license agreements. If you or your end users do not agree to any terms of the third-party agreements, you shall immediately stop using the corresponding models, applications, and data.
2.6.4 You shall conduct security compliance review on your content, take effective measures to ensure the quality of your content data, and ensure that your content complies with applicable laws and regulations, policies, and public order and good customs, and does not contain pornographic, violent, or drug-related information, or any other content that may affect the security and stability of the AI models, including Trojan horses, viruses, other malware, and inducement questions. You shall ensure that your content and the act of uploading and using the content do not infringe upon the legitimate rights and interests of any entity, including intellectual property rights, trade secrets, and personal data, and comply with applicable laws and regulations.
2.6.5 You and your end users shall carefully evaluate the risks before using the AI models. You shall ensure that the decisions made based on the output of the AI models are manually reviewed, and you shall bear all consequences arising from the use of the output of this Platform. If any loss is caused to us and our affiliates as a result, you shall be liable for the compensation.
2.6.6 You understand and agree that when you provide services to your end users through this Platform, you, as the service provider, shall comply with applicable laws and regulations and fulfill relevant obligations, including but not limited to obtaining qualification licenses and permits, security assessment, archiving, content identification, content compliance review, and algorithm mechanism construction.
2.6.7 Generated Content Identification
(a) When you use this Platform, the model outputs are generated by LLMs based on your inputs. We will add identifiers in appropriate positions on the model outputs in accordance with applicable laws and regulations. Please read them carefully.
(b) You shall not maliciously delete, tamper with, forge, or conceal the generated/synthetic content identifiers of this Platform or third parties to mislead third parties into believing that AI-model outputs are human-generated. You shall not provide tools or services for others to carry out the aforementioned malicious acts, and you shall not infringe upon the legitimate rights and interests of others through improper identification or labeling practices.
2.6.8 You understand and agree that, during the use of this Platform, you shall not conduct penetration testing against the AI models and their platform to steal AI models, data, or other assets; nor shall you reverse assemble, reverse compile, translate, or otherwise attempt to discover the source code or parameters of the models, components, algorithmic systems, or other computer programs used by this Platform. You shall not use any automated or programmatic methods to extract data from the AI model outputs, including web crawlers, scraping, web harvesting, or web data extraction.
2.6.9 If you violate applicable laws and regulations, infringe upon the legitimate rights and interests of third parties, or breach the terms of this Agreement, Huawei Cloud has the right to suspend or terminate the provision of all or part of the services to you. You shall be liable for compensating us for any losses caused thereby.
2.7 Risk Disclosure and Limitation of Liability
2.7.1 You understand and agree that Huawei Cloud does not guarantee the performance, compliance, security, accuracy, completeness, reliability, authenticity, or other aspects of models, model outputs, and data from third-party service providers on this Platform. Huawei Cloud is not responsible for any damage these models or data may cause. The content on this Platform does not reflect Huawei Cloud's views. You are responsible for any content you download or use from this Platform. Consider carefully before downloading or using any content. Any dispute arising from your use of third-party provider models or data shall be resolved by you and the third-party provider. Huawei Cloud shall not assume any responsibility.
2.7.2 Huawei Cloud is dedicated to improving our services. You understand and agree that, despite our best reasonable efforts, we cannot guarantee the accuracy, integrity, or authenticity of AI services and model outputs on this Platform due to current industry limitations. When using this Platform, make rational judgments and exercise caution. Also, if defects are unavoidable given the current industry technology, they will not be considered a breach of contract.
2.7.3 You understand and agree that the platform processes data automatically. The model outputs are for reference only and do not serve as professional advice in medical, legal, financial, or other fields. They cannot replace real experimental or clinical results. Do not rely on the model outputs, especially for significant health or rights issues. Before using or applying the outputs, make rational judgments and carefully evaluate them based on the actual situation. Ensure that the outputs comply with relevant laws and regulations.
2.7.4 Huawei Cloud may use manual or technical methods to review Your Content, inputs, and model outputs for basic security and compliance. If Your Content, inputs, or model outputs violate laws, regulations, or this Agreement, we can delete the content and suspend or terminate services. You are responsible for the security and compliance of Your Content, inputs, and model outputs. Huawei Cloud's reviews do not guarantee Your Content or reduce your compliance obligations. If Huawei Cloud or a third party incurs losses due to Your Content, inputs, or model outputs, you are liable for those losses.
2.7.5 If you add skills or rules by yourself, you understand and agree that we shall not be liable for any responsibility arising therefrom. You shall ensure the compliance, security, and reliability of the skills or rules. If any loss is caused to us, you shall be liable for the loss.
2.7.6 If you use skills involving third-party service providers, ensure that you follow applicable laws and third-party agreements. We are not responsible for third-party services. We may also remove or update the skills at any time to comply with laws, agreements, or for business reasons.
2.7.7 If you use our skills, you understand and agree that we may remove or update them at any time to comply with laws, agreements, or for business reasons.
2.7.8 We are committed to keep the platform running smoothly. However, we may suspend, terminate, or remove this Platform to comply with laws, regulations, agreements, or for business reasons. We will notify you within a reasonable time.
2.7.9 This Platform is sold and services are provided only in non-EU regions. If you use this Platform in EU regions, you shall bear any risks, liabilities, or losses arising therefrom. You shall be liable for any loss caused to Huawei Cloud due to the aforementioned behavior.
2.7.10 You can view resource usage, like instance specifications and networks, on the management console. We recommend that you closely monitor the relevant billing information to avoid incurring excess charges. If output is interrupted and lost due to unpaid bills, you will be responsible for the consequences.
2.8 Contact Us
You and your end users understand and agree that if you find that the model output does not comply with applicable laws and regulations, the Acceptable Use Policy, or any content that may bring negative impacts to Huawei Cloud, or if you have any questions about this Platform, you and your end users shall contact us through the "Contact Us" button at the bottom of the official website. You shall not disclose the preceding output or related information to any third party without Huawei Cloud's authorization.
2.9 Definitions
2.9.1 Input: The input content provided by you or your end users when using this Platform.
2.9.2 Output: The output content generated by the model/agent application based on the input from you or your end users.
2.9.3 Your Content: In addition to the definitions and relevant provisions of the Huawei Cloud Customer Agreement, for the purposes of this Platform, this includes but is not limited to: your or your end users' inputs, knowledge bases uploaded by you or your end users, data in any format, skills and rules, models, and more.
